About Replate

Replate is a sole proprietorship based in Hyderabad, Telangana, India, operating from E-1001 Lodha Meridian, KPHB, Kukatpally, Hyderabad, Telangana 500072 ("Replate", "we", "us" or "our"). We rescue premium bakeries' unsold same-day food and offer it as discounted "Surprise Bags." You book through the Replate app or over WhatsApp and pay in Indian Rupees (INR) through Razorpay. There is no delivery — collection is at the bakery's own counter.

Acceptance of these terms

By ticking the acceptance box at sign-up, creating an account, claiming a Surprise Bag, or completing a payment, you confirm that you have read, understood and agree to these Terms & Conditions, our Privacy Policy and our Cancellations & Refunds Policy, which together form a binding agreement between you and Replate. If you do not agree, please do not use the service.

Our role — we are a marketplace, not the seller of food

Replate is exclusively an intermediary marketplace that connects you with partner bakeries. We do not manufacture, sell, purchase, own, store, prepare, produce, process, pack, deliver or handle the food in any Surprise Bag. The partner bakery is the seller and producer of the food. We have no insight into and no responsibility for the contents of any Surprise Bag. Any question about a Surprise Bag's contents should be directed to the relevant bakery.

Surprise Bags — what you're buying

A Surprise Bag contains a selection of the partner bakery's surplus food from that day. By its nature:

• The contents are a surprise and are chosen by the bakery from what is left over. We do not guarantee any specific item, brand, flavour, weight or quantity. You are buying a discounted food category (e.g. bakery items), not a specific item.
• Any indicative "worth," "value" or comparison price shown is an estimate for guidance only, based on the bakery's regular retail prices, and is not a promise of contents or value. Prices on third-party platforms may differ and are not a valid basis for a claim. Impact figures shown in the app (such as kilograms of food rescued or CO₂e avoided) are likewise good-faith estimates, not measurements.
• Food is surplus from the same day — fresh, never spoiled — but availability varies daily and bags are limited.

Allergens & food safety

Surprise Bags are prepared, packed and supplied by the partner bakeries, not by Replate. Bakery products are made in shared kitchens and may contain or come into contact with eggs, dairy, nuts, wheat/gluten, soy and other allergens, and may include non-vegetarian ingredients. We cannot guarantee that any bag is vegetarian, vegan or allergen-free.

By claiming a bag, you acknowledge and accept that the surprise format means specific contents cannot be known or guaranteed in advance, and you assume the risk that a bag may contain allergens or items unsuitable for your dietary requirements. Bags are not suitable for anyone with a serious allergy. If you have any allergy or dietary concern, do not rely on the surprise format — ask the bakery at the counter before collecting and use your own judgement. The bakery is responsible for providing ingredient and allergen information on request at pickup.

Booking & payment

• Bags are first come, first served and limited in number. You reserve a bag in the app (or by replying while listings are live on WhatsApp).
• Reserving a bag places a short hold — currently 3 minutes — during which you must complete payment. If you don't pay within the hold window, the bag is released to the next person and no charge is made.
• If a bakery is sold out, you may join a queue. If a held bag frees up, it is offered to the next person in line, who then gets the same short payment window. Joining a queue never charges you; a payment is only taken when you complete checkout on a bag held for you.
• You can hold one active booking per bakery per night.
• Payment is made in INR through Razorpay (in-app checkout or a Razorpay Payment Link). Your order is confirmed only once payment is successful.
• On successful payment you receive a pickup code, which you show at the bakery counter to collect your bag.
• Prices are shown per bag at the time of listing and are inclusive of applicable taxes unless stated otherwise.

Pickup is your responsibility

You must collect your bag yourself, at the listed partner bakery, within the stated pickup window (typically the last hour before that bakery closes). Replate does not deliver. Because Surprise Bags are perishable and are set aside for you the moment you pay, if you do not collect your bag within the pickup window, the bag is forfeited and no refund is due — see our Cancellations & Refunds Policy.

Cancellations & refunds

Cancellations and refunds are governed by our Cancellations & Refunds Policy. In short: if a bakery cancels, you are refunded in full automatically; if you cancel, no-show or fail to collect, the payment is forfeited.

Acceptable use

Please use the app, the WhatsApp group/channel and the service respectfully, provide accurate information when booking, and do not resell bags or transfer, sell or misuse pickup codes. We may remove or suspend anyone who abuses the service, at our reasonable discretion.

Your indemnity to us

You agree to indemnify and hold harmless Replate and its proprietor, officers and employees from any claims, losses, liabilities, costs or expenses arising from or related to: (i) your misuse of the service; (ii) your breach of these Terms; (iii) your resale or transfer of bags or misuse of pickup codes; or (iv) your violation of any applicable law.

Limitation of liability

The food in every bag is produced and supplied by the partner bakery, which is solely responsible for its quality, hygiene, safety, contents and labelling. To the maximum extent permitted by law, Replate shall not be liable for any loss, damage, illness, injury or allergic reaction arising from or in connection with the food or its contents, or from the acts or omissions of any partner bakery. Your recourse for any food-safety or quality issue is against the partner bakery that produced the food. To the maximum extent permitted by law, Replate's total liability for any claim relating to a bag is limited to the amount you paid for that bag. Nothing in these terms excludes any liability that cannot be excluded under Indian law, including for our own fraud.

Changes & governing law

We may update these terms from time to time; the "Last updated" date above shows the current version. These terms are governed by the laws of India, and the courts of Hyderabad, Telangana have exclusive jurisdiction over any dispute, subject to attempting amicable resolution first.
